ABSTRACT: | Roscoe Postle Associates Inc. (RPA) was retained by VM Holding S.A. (VMH) to prepare an independent Technical Report on the Caçapava do Sul Project (the Project or the Property), located in the state of Rio Grande do Sul, Brazil. The purpose of this report is to support the disclosure of an updated Mineral Resource estimate for the Project. This Technical Report conforms to NI 43-101 Standards of Disclosure for Mineral Projects. RPA visited the Property from June 7 to 9, 2017. In September 2008, VMH entered into an agreement with Mining IAMGOLD Brasil Ltda. (IAMGOLD), as amended in 2010 and 2016, whereby it could earn a 56% interest in the Property by making staged exploration expenditures, annual cash payments due to a third party by virtue of an underlying agreement, and one-time cash payment due to IAMGOLD upon exercise of the option. An additional 19% interest can be earned by VMH by continuing the annual cash payments to the third party and solely funding all expenditures required to complete a feasibility study by December 14, 2019. The Project consists of three separate mineral deposit areas, collectively known as the Santa Maria deposit. Each area hosts two different mineralization systems, a Pb-Zn-Ag system and a Cu-Pb-Ag system, with each system exhibiting both stringer and disseminated textures. The deposit areas are close enough to each other that a potential mine could use a central processing facility. Exploration and engineering programs have produced an extensive database of information which forms the foundation for this report. | |
