| ABSTRACT: | Prize Mining Corporation (Corp.) (Prize) headquartered in Calgary, BC, has engaged Gary Giroux of Giroux Consultants Limited (Ltd.) of Vancouver, BC and Vivian Park, P. Geo, of VPG Geoscience, in Kamloops, British Columbia (BC), and, to update the technical report for the Kena Project as a requirement for reactivation and graduation. Mr. Giroux and Ms. Park are qualified persons as defined in National Instrument 43-101 (NI 43-101), and are independent of Prize. This report is to comply with disclosure and reporting requirements set forth in NI 43-101, Standards of Disclosure for Mineral Projects, and in accordance with Form 43-101F1. Prize entered into a pre-acquisition agreement (the Pre-acquisition Agreement) with 1994854 Alberta Ltd. (199) pursuant to which Prize has agreed to make an offer to acquire all of the outstanding shares of 199 on a one-for-one share exchange basis (the 199 Acquisition). Prize has not done any work at Kena. There has been no significant work on the project since 2012; therefore, the estimate of mineral resources released on April 11, 2013, and supported by the technical report “Technical Report for the Kena Property, Nelson, BC”, by G. Giroux and V. Park, dated May 15, 2013, is still considered to be current. In light of changes to the 2014 (CIM) classification definitions, the resource has been reclassified in this report. | |
