| ABSTRACT: | The following report has been prepared by GHD Chile (“GHD”) and Groundwater Insight Inc. (“GWI”) at the request of Neo Lithium Corporation (NLC), to provide NLC with an NI 43-101 compliant, Independent Technical Report and Preliminary Feasibility Study (PFS) on the Tres Quebradas (3Q) Project, in Catamarca Argentina. The mineral deposits that are the focus of this Report are related to lithium in brine contained within salar deposits and two brine lakes, at the 3Q Salar. The report provides a comprehensive assessment of geological, technical, engineering, operational and commercial aspects (economic analysis) under which the 3Q Project in northwest Argentina may be considered potentially economic so that the current development program can continue. GHD and GWI were commissioned for this service with the purpose of defining and quantifying the technical merits of the project and for determining the conditions under which the 3Q Project should be progressed to the Feasibility Study stage. Preparation of the Resource and Reserve Estimates, and supporting components, was supervised by Mark King, Ph.D., P. Geo., F.G.C., a “qualified person” (a “QP”) who is “independent” of NLC, as such terms are defined by NI 43-101. Dr. King supervised preparation of Sections 4 to 12, 14 to 16, 20 and 23, as well as associated information in Sections 1, 2, 3, 25 and 26. This report builds upon the Mineral Resource Estimate reports previously prepared for the 3Q Project (King, 2017 and King, 2018). Mr. Gino Zandonai, M.Sc., Mining Engineer., AusIMM, CP #0155, served as QP for the preparation of engineering information in this report. Mr. Zandonai is an independent Consultant for GHD and has no relationship with NLC as required by the definitions of NI 43-101.
