ABSTRACT:programs conducted by the Finnish Geological Survey Consortium (or “GTK”), as part of a seven-year World Bank funded project, the areas surrounding the past producing Kilembe Mine (which the Company refers to as “Kilembe”), and another area in westcentral Uganda (which the Company refers to as “Bujagali”), were ranked by GTK among the country’s highest exploration priorities for cobalt and copper. In November 2017 M2 Cobalt Corp. (“the Company”) signed definitive agreements to acquire seven Exploration Licences (“EL’s” or “Licences”) in Uganda from 1126302 B.C. Ltd., 0972697 B.C. Ltd., and Manuforty Holding Company Limited (collectively, the “Vendors”), each arms-length parties to the Company and which collectively hold the rights to the Exploration Licences in Uganda through their respective subsidiaries. The properties are subject to a two percent net smelter return (“NSR”) royalty, held by 0972697 B.C. Ltd., Beta Minerals Limited and Intrepid Minerals Limited. During 2017 the Company engaged Mr. D. Besserer (“the Author”) to visit the Uganda Licences (the “properties” or “Property”) and complete a technical report (the “Technical Report” or “the Report”). The Author visited the properties on behalf of the Vendors in 2015 and more recently on behalf of the Company in August 2017. During 2018, the Company engaged the Author to conduct and/or manage a comprehensive exploration campaign within the properties, which at the time consisted of: The Bujagali Property consists of five Exploration Licences (“EL’s” or “Licences”) totaling 1371 square kilometers (“km2”). The Kilembe Are Property consisted of two Exploration Licences totaling 193 km2.
