ABSTRACT: | This Technical Report has been prepared by The MSA Group (Pty) Ltd (“MSA”) on behalf of Camex Energy Corp. (“Camex”) Desert Lion Energy (Pty) Ltd (“DLE” or “Desert Lion Energy”) and Desert Lion Energy Corp. MSA were commissioned to prepare a Technical Report compliant with the Canadian National Instrument 43-101 (“NI 43-101”) for the Rubicon Lithium Project (“the Project” or “Rubicon” or “Rubicon Mine”), located in Karibib District, Namibia. The Rubicon Lithium Project, which comprises the Main Pegmatite (including the old Rubicon I and II open pits), the South 1 Pegmatite, the South 2 Pegmatite, the slimes dump and various rock dumps in the immediate area, falls within Desert Lion Energy’s Lithium property (“the Property”). Other mineral prospects on the Property include the Helikon Extension, Marble Hill, Target 1394 North, Target 1394 South1, Target 1394 South2, Target 1394 West1 and Target 1394 West2 targets The Project is 100% owned Desert Lion Energy (Pty) Ltd, a private Namibian company. Desert Lion Energy Corp. owns 80% of Desert Lion Energy (Pty) Ltd (Namibia) (previously known as !Huni/-Urib Investments (Pty) Ltd), with the remaining 20% held by !Huni/-Urib Holdings (Pty) Ltd. (“Huni Holdco”) Camex Energy Corp. (“Camex”), a wholly owned subsidiary of Camex (“Camex Subco”) and Desert Lion Energy Corp. have entered into an amalgamation agreement dated October 12, 2017, pursuant to which Camex Subco and Desert Lion Energy Corp. will amalgamate to form Amalco and a result of which, Camex will be become the indirect owner of the Property as the parent company of Amalco. | |
